Please read these Terms & Conditions carefully before using our international shipping services.
1. Introduction and Applicability
These Terms & Conditions govern all international shipping, freight forwarding, logistics, warehousing, and related services provided by Modern & Trusted Logistics Company ("Company", "we", "us"). By requesting or accepting our services you agree to be bound by these Terms. Where local law or a written agreement provides otherwise, such provisions will prevail to the extent permitted by law.
2. Definitions
In these Terms: "Consignor" means the person or company that delivers goods to us for carriage; "Consignee" means the recipient; "Carrier" means the entity physically transporting goods; "Goods" means the items shipped. The Company acts as both Carrier and Freight Forwarder depending on the service provided; these Terms apply to both roles.
3. Our Role — Forwarder & Carrier
We may act as a Freight Forwarder arranging carriage with third-party carriers, and/or as Carrier using our own transport network. When acting as Forwarder, our liability is limited as set out below and we shall not be liable for acts or omissions of nominated carriers beyond the limits provided by applicable carriage conventions.
4. Booking, Documentation & Instructions
All bookings must include accurate and complete descriptions of Goods, packaging, weights, values, dimensions, and any hazardous classification. You must provide all documentation necessary for export, import, transit, and customs clearance (commercial invoice, packing list, export licenses, certificates). The Company is entitled to rely upon all documents and instructions received from the shipper and is not responsible for inaccuracies originating from those documents.
5. Customs, Duties & Taxes
The consignee or consignor is responsible for payment of import/export duties, taxes, customs charges, and any penalties or fines. We may act as customs broker if engaged and charge a fee. You must provide correct tariff classifications and values. The Company is not liable for delays, penalties, or additional charges resulting from incorrect or incomplete customs information provided by you.
6. Packing, Labeling & Dangerous Goods
Shippers are responsible for proper packaging, labeling, and securing of Goods for international transport. Dangerous, hazardous, or restricted goods must be declared in writing with proper documentation and packaging that complies with international regulations (IATA, IMDG, ADR). Undeclared hazardous items may be destroyed, returned, or subject to charges and the shipper will be liable for all costs and losses.
7. Rates, Charges & Payment
Quotes are valid for the stated period and subject to change based on fuel, currency, carrier surcharges, duties, or other costs. Unless otherwise agreed in writing, payment terms are as set in our invoice. Late payments may incur interest and the Company may suspend services. All charges payable under these Terms are exclusive of taxes unless specified.
8. Liability & Limitation of Liability
Our liability for loss, damage, or delay of Goods is limited to the lesser of the actual value of the Goods or amounts permitted by applicable international conventions (such as the Warsaw, Montreal, Hague-Visby, or CMR conventions), where applicable. If no applicable convention applies, liability is limited to a maximum of USD 2.00 per kilogram unless a higher declared value and insurance are arranged in writing and additional charges paid.
We are not liable for indirect, incidental, special, or consequential losses, including loss of profits, unless required by law. Our total aggregate liability will not exceed the fees paid for the relevant service.
9. Insurance
Insurance is not automatically provided unless agreed. We recommend clients obtain cargo insurance. If you request the Company to arrange insurance, we will do so as agent on your behalf and any insurance will be subject to the insurer’s terms. We will not be liable for insurer refusals or limitations.
10. Claims, Notices & Time Limits
You must inspect Goods on receipt and notify the Company immediately of any visible loss or damage. For hidden damage, notify within 7 days. For loss, damage, or delay claims, submit written notice within time limits prescribed by applicable carriage terms or law. Failure to comply may prejudice or bar recovery.
11. Delays & Force Majeure
We are not liable for delays caused by events beyond our reasonable control (force majeure) including natural disasters, strikes, wars, governmental actions, pandemics, port congestion, or carrier breakdowns. In such events, we will make reasonable efforts to mitigate delays and notify affected parties.
12. Security & Compliance
All shipments must comply with international security regulations. We may screen, inspect, or x-ray shipments and hold or reject cargo if it fails security screening or regulatory compliance. You warrant that shipments comply with all applicable laws, sanctions, and export control regulations.
13. Prohibited & Restricted Goods
Prohibited items (e.g., illegal drugs, weapons, certain hazardous materials) must not be shipped. Restricted items may require permits. The Company may refuse, remove, or dispose of prohibited goods at the shipper’s cost and liability.
14. Warehouse & Storage
Where goods are stored with us, storage charges apply and title remains with the owner unless otherwise agreed. We exercise reasonable care in storage but limit liability for loss or damage as set out in these Terms.
15. Termination & Suspension
We may suspend services or terminate contracts for non-payment, illegal shipments, insolvency, or breach of these Terms. Outstanding charges remain payable and we may exercise lien rights over goods until payment is made.
16. Privacy & Personal Data
We collect and process personal data in accordance with our Privacy Policy. Personal data may be shared with carriers, customs authorities, and service providers to perform logistics services. By using our services you consent to such processing and sharing as necessary for service delivery and legal compliance.
17. Limitation of Actions & Governing Law
Any action against the Company must be brought within the time limits prescribed by applicable international conventions or local law. These Terms are governed by the laws of the jurisdiction stated in our service contract or, absent agreement, the laws of the Company’s principal place of business. Disputes shall be resolved in local courts unless arbitration is agreed in writing.
18. Notices
All notices must be in writing and sent to the contact details on our website or the address on the service documentation. Notices are effective upon receipt or as otherwise provided by law.
19. Entire Agreement
These Terms, together with any service confirmations, bills of lading, or contracts, constitute the entire agreement between the parties regarding the services and supersede prior agreements. Any amendments must be made in writing and signed by authorized representatives.
